About The Role
As a General Counsel at Kiln, you will provide strategic advice to the leadership team and secure the execution of all legal activities. You will be a crucial partner to promote Kiln’s interests, in relations with our board, investors, partners, and regulators. You will be responsible for preventing risk exposition and supporting opportunities from legal perspectives, while we scale in hyper-competitive markets and fast-moving regulatory environments!
Responsibilities
Governance and Financing:
Lead the legal side of Kiln debt and equity financing to ensure terms aligned with Kiln’s interests.
Maintain necessary corporate governance with the board of directors and investors.
Regulatory Strategy:
Monitor regulatory frameworks and conduct thorough risk assessments.
Provide proactive advice to mitigate risks and ensure Kiln compliance.
Take a thought leadership role with industry groups and engage with policymakers and regulators.
Commercial Contracts:
Act as a business partner for strategic transactions and partnerships.
Oversee drafting and participate in contract/agreement negotiations with customers, vendors, and partners.
Assist Sales and Finance teams with contract interpretation and life-cycle management.
Global expansion:
Analyze and mitigate regulatory implications of regional expansion.
Identify associated risks and work on the appropriate course of resolution.
Requirements
8+ years of experience as in-house Legal Counsel within high-growth BtoB software companies.
Used to provide legal advice and guidance to C-level and collaborate with boards of directors and investors.
Proven experience leading equity-based fundraising, ideally post-Series A.
Advanced understanding of financial regulatory frameworks.
Strong judgment with the ability to structure complex transactions, draft and negotiate agreements with strategic partners and investors.
Operating autonomously while maintaining high standards and acting in the best interest of the company.
Fluent/bilingual in English – and French (bonus)

Nice-to-haves
Experience working in a blockchain or cryptocurrency company.
Experience supporting company expansion and countries openings, within at least the EMEA region.
Experience in hiring, managing, and developing an in-house Legal team.
